ONDA Inc. has completed its absorption merger with Bubba Gump Corporation as of December 2023. ONDA continues as the surviving entity, acquiring all assets and obligations under Korean Commercial Act procedures.
ONDA Inc. hereby announces that, pursuant to Article 527-3 of the Commercial Act (Small-Scale Merger), its Board of Directors on November 6, 2023, and Bubba Gump Corporation's shareholders' meeting on October 26, 2023, have approved the absorption merger whereby ONDA Inc. absorbs Bubba Gump Corporation in accordance with Articles 522 through 530 of the Commercial Act. Under this merger, ONDA Inc. continues as the surviving entity and succeeds to all rights and obligations of Bubba Gump Corporation, while Bubba Gump Corporation is dissolved. ONDA Inc. and Bubba Gump Corporation have completed all merger procedures as prescribed under the Commercial Act and the Special Act on Promotion of Venture Businesses.
In accordance with Article 526, Paragraph 3 of the Commercial Act, the Board of Directors resolved on December 1, 2023, to replace the merger report meeting with this public announcement. We hereby report the completion of the merger to all shareholders through this notice.
