To the shareholders of ONDA Inc.,

Pursuant to the board resolution of February 17, 2025, we hereby give public notice that new shares will be issued as follows.

- Class and number of new shares: 65,869 registered Series 7 redeemable convertible preferred shares

- Issue price of new shares: par value KRW 500, issue price KRW 75,908

- Total issue amount: KRW 4,999,984,052

- Total number of shares after issuance: 881,589 shares

- Record date for allotment of new shares: Tuesday, March 4, 2025

- Subscription date for new shares: Thursday, March 20, 2025

- Payment period for the subscription deposit: Wednesday, March 5, 2025 – Thursday, March 20, 2025

- Payment due date for the share price: Friday, March 21, 2025

- Place of payment: Industrial Bank of Korea, Teheran-ro Central Branch

- Terms of the Series 7 redeemable convertible preferred shares: as set out in <Appendix 1>

- Method of subscription: new shares shall be allotted to each shareholder in proportion to the number of shares held as of the allotment record date, at a ratio of 0.08075 new share per share held.

- The handling of forfeited shares, fractional shares, and other necessary procedures relating to the issuance of new shares shall be determined later by resolution of the board of directors.

- 신주식의 발행가액 : 액면가 500원, 발행가 75,908원

- 발행금액 총액 : 발행 금액 : 4,999,984,052원

- 발행 후 총 주식 수 : 881,589주

- 신주 배정기준일 : 2025년 3월 4일 (화)

- 신주 청약일 : 2025년 3월 20일 (목)

- 청약 증거금 납입 기간 : 2025년 3월 5일 (수) ~ 3월 20일 (목)

- 제 7종 상환전환우선주식의 내용 : <별첨1>과 같음

- 인수 방법 : 배정기준일 현재 각 주주가 가진 주식수의 비율에 따라 신주식을 배정한다. 1주당 0.08075주의 비율로 배정한다.

- 실권주 및 단수주 등 기타 신주 발행에 관한 필요한 절차사항에 대한 처리는 추후 이사회 결의에 의거 처리한다.
